The Team: Legal Department

The Legal Department is a global team of ten attorneys based in the U.S.

(Natick, MA), Ireland (Dublin) and China (Shanghai).

The Legal Department supports all aspects of Cognex’s business including intellectual property, commercial transactions, corporate development (M&A), dispute resolution, labor & employment, real estate, and regulatory compliance.

The team works hard to be collaborative, responsive, solution oriented and practical, taking the work seriously, but not themselves!

The Legal Department is like an in-house law firm trained to advocate for Cognex and navigate difficult situations to achieve high-quality results.

The Role: Corporate Counsel

We are looking for a Corporate Counsel with responsibility primarily for the Americas.

Reporting to a senior attorney in Natick, Massachusetts, this position will work closely with the Americas sales team and have responsibility for customer agreements in the region.

In addition, this role will provide business and legal counsel on a wide range of commercial and other matters, including M&A transactions and public company matters.

The ideal candidate should be comfortable giving strategic, creative, and business-savvy legal advice and must independently own matters while operating as part of the larger Legal team.

Essential Functions:


Draft, review and negotiate customer and vendor agreements, as well as a wide range of other commercial agreements including nondisclosure agreements, license agreements, development agreements, office lease agreements, etc.


Serve as an initial point of contact for internal clients, providing creative business and legal counsel on a wide range of issues common to rapidly growing public companies.


Participate in special projects as needed, such as M&A and other corporate strategic initiatives.


Support the preparation of SEC-related disclosures, policies and procedures.


Lead legal trainings for Cognoids in the Americas.


Support domestic and international corporate subsidiary maintenance.

Ability to understand, interpret and explain contractual terms to business clients.


Team player with a good sense of humor who can effectively build relationships at all levels of the organization, including senior management.


Excellent verbal and written communications skills.


Highest standards of ethics, professional integrity and discretion.


Ability and willingness to travel and work extended hours when necessary.

Minimum Education and Work Experience:


Minimum of 4 years relevant commercial/corporate law experience.

Large firm experience (with some public company work) preferred.


High academic achievement from a leading undergraduate university and law school.


Active member in good standing with the Massachusetts Bar.
